Welcome to HerdID. These Terms and Conditions ("Terms") govern your access to and use of the HerdID platform, including our website, mobile applications, and related services (collectively, the "Platform").
By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Platform.
1. Acceptance of Terms
By creating an account or using the Platform, you confirm that:
- You have read and understood these Terms;
- You agree to be legally bound by them;
- You have the legal capacity to enter into a binding agreement.
We may update these Terms from time to time. Where changes are material, reasonable notice will be provided via the Platform or email. Continued use after updates become effective constitutes acceptance of the revised Terms.
We may record the version of the Terms accepted by you.
2. Eligibility
You must be at least 18 years old to create an account.
By using the Platform, you confirm that you meet this requirement.
3. Account Responsibilities
When creating an account, you agree to:
- Provide accurate and complete information;
- Keep your credentials secure;
- Notify us immediately of unauthorized access;
- Accept responsibility for all activity under your account.
Accounts may not be shared except where permitted through role-based access (e.g., stable staff).
We may suspend or terminate accounts that violate these Terms or pose risk to the Platform.
4. Subscription & Payment Terms
Certain features require a paid subscription.
Billing
- Subscriptions are billed monthly or annually in advance.
- Subscriptions automatically renew unless cancelled before the renewal date.
- You authorize HerdID or its payment processor to charge your selected payment method.
- Failure to process payment may result in suspension or termination.
Pricing Changes
We may adjust pricing with reasonable notice. Continued use after pricing changes take effect constitutes acceptance.
Refund Policy
Unless required by law, subscription fees are non-refundable. No refunds are provided for partial billing periods.
5. Acceptable Use
You agree not to:
- Violate any laws or regulations;
- Infringe intellectual property or privacy rights;
- Upload false, misleading, or fraudulent information;
- Impersonate veterinarians or clinics;
- Attempt unauthorized access;
- Disrupt Platform security;
- Use the Platform for unauthorized commercial purposes;
- Harvest user data without consent.
Veterinary-Specific Restrictions
You may not:
- Falsely represent veterinary credentials;
- Upload fabricated medical records;
- Provide veterinary advice unless licensed and acting within professional scope.
6. Data Accuracy Disclaimer
HerdID provides record-keeping tools only.
You acknowledge:
- Records are only as accurate as the data entered;
- OCR and AI extraction may contain errors;
- You must verify AI-generated data before relying on it;
- HerdID does not independently verify most uploaded content;
- We are not responsible for inaccuracies due to poor quality or incomplete documentation.
7. Veterinary & AI Disclaimer
HerdID is not a veterinary service.
- The Platform does not provide diagnoses or treatment plans.
- AI features are informational and organizational tools only.
- AI outputs may be incomplete or incorrect.
You agree that:
- AI must not replace professional veterinary judgment.
- Medical decisions must be made by qualified veterinarians.
- In emergencies, you must contact a veterinarian directly.
HerdID disclaims liability for actions taken based on AI outputs.
8. Emergency Feature Disclaimer
The Platform may include emergency logging and notification features.
You acknowledge:
- HerdID is not an emergency response service.
- Notification delivery is not guaranteed.
- Users are solely responsible for directly contacting veterinarians.
- HerdID is not liable for delays or failures in notification delivery.
9. Platform Availability
We strive for reliable service but do not guarantee uninterrupted access.
The Platform may experience downtime due to:
- Maintenance
- Third-party outages
- Infrastructure failures
- Security incidents
HerdID is not liable for temporary interruptions.
10. Intellectual Property
All Platform software, design, branding, and proprietary systems are owned by HerdID.
You retain ownership of content you upload.
By uploading content, you grant HerdID a non-exclusive, royalty-free license to:
- Store
- Process
- Display
- Securely transmit
Such content solely to provide Platform services.
You may not reverse engineer or copy Platform components without written permission.
11. Research & Aggregated Data Use
By using the Platform, you acknowledge that HerdID may use anonymised and aggregated data for:
- Platform improvement
- AI enhancement
- Industry research
- Vaccination and disease trend monitoring
- Safety analytics
Such use will not include personally identifiable information unless explicit consent is obtained where legally required.
HerdID does not sell personal information.
12. No Professional Relationship
Use of the Platform does not create:
- A veterinary-client-patient relationship
- An employment relationship
- A partnership or agency relationship
Between HerdID and users.
13. Limitation of Liability
To the maximum extent permitted by law, HerdID shall not be liable for:
- Indirect or consequential damages;
- Loss of profits, data, goodwill, or business interruption;
- Errors arising from AI or OCR processing;
- Veterinary or health outcomes;
- Emergency notification failures.
Total liability for any claim shall not exceed the total fees paid by you in the twelve (12) months preceding the event giving rise to the claim.
Nothing limits liability where prohibited by South African law.
14. Indemnification
You agree to indemnify and hold harmless HerdID and its affiliates from claims arising from:
- Your use of the Platform;
- Violation of these Terms;
- Uploaded content;
- Breach of laws or third-party rights.
15. Data Export & Termination
We may suspend or terminate access if:
- You breach these Terms;
- Fees are unpaid;
- Continued access poses risk.
Upon termination:
- Access ceases;
- You may request export of your data within a reasonable period;
- Certain records may be retained for legal, regulatory, or animal welfare continuity reasons.
16. Force Majeure
HerdID is not liable for delays or failures due to events beyond reasonable control, including:
- Natural disasters
- Internet outages
- Government actions
- Cloud provider failures
- Cyberattacks
- AI service disruptions
17. Governing Law
These Terms are governed by the laws of the Republic of South Africa.
Disputes shall be subject to the jurisdiction of South African courts, unless otherwise required by mandatory international law.
If any provision is unenforceable, remaining provisions remain valid.
